These Terms of Use ("Terms") govern your access to and use of the website located at leave.momup.com (the "Site"), operated by MomUp LLC ("MomUp Leave," "we," "us," or "our"), and any content, consultations, tools, or services we make available through the Site (together, the "Services"). Please read these Terms carefully. By accessing or using the Site or Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.
1. Informational purposes only; not legal advice
The Site and all content on it, including guides, articles, checklists, timelines, templates, FAQs, and any other materials (collectively, the "Content"), are provided for general informational and educational purposes only. The Content is not legal, tax, financial, accounting, human-resources, or other professional advice, and must not be relied upon as such.

2. No attorney-client or professional relationship
MomUp Leave is not a law firm, and its personnel are not acting as your attorneys. Nothing on the Site, and no use of the Services, creates an attorney-client relationship, a fiduciary relationship, or any other professional-advisor relationship between you and MomUp Leave. Communications with us through the Site, including through forms, email, or scheduling tools, do not create any such relationship and are not protected by attorney-client privilege or any similar protection.
3. Consultations and services
We may offer consultations, including a free introductory consultation, as well as other Services. Any consultation or Service is provided for general informational purposes and to help you understand your options; it is not a substitute for advice from an attorney or other licensed professional, and it does not create an attorney-client or other professional-advisor relationship. Any guidance provided during a consultation is general and based on the information you provide, which we do not independently verify. You remain solely responsible for your decisions and for obtaining independent professional advice before acting.
Scheduling, availability, scope, and any fees for Services are as described at the time of booking and may change. We may decline, reschedule, or discontinue Services at our discretion.
4. Accuracy, currency, and no warranty regarding Content
Laws, regulations, agency guidance, benefit amounts, contribution rates, deadlines, and procedures change frequently, and there may be a delay between such changes and any update to the Content. The Content may become out of date, and we do not undertake any obligation to update it. Figures, dates, and legal descriptions in the Content are provided as of the date written and may no longer be accurate.
We make no representation or warranty that the Content is accurate, complete, current, or applicable to your situation. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT THE CONTENT IS ACCURATE, CURRENT, OR RELIABLE.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL MOMUP LEAVE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SITE, CONTENT, OR SERVICES, OR YOUR RELIANCE ON ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE, CONTENT, OR SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US, IF ANY, FOR THE APPLICABLE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
10. Indemnification
You agree to indemnify, defend, and hold harmless MomUp Leave and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, Content, or Services, your violation of these Terms, or your violation of any law or the rights of any third party.
11. Privacy
Your use of the Site is also subject to our Privacy Policy, available at https://www.momup.com/policies/privacy-policy, which is incorporated into these Terms by reference.
12. Changes to these Terms
We may update these Terms at any time. When we do, we will revise the "Effective date" above. Your continued use of the Site or Services after changes take effect constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
13. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms, the Site, the Content, or the Services will be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the personal jurisdiction of those courts.
14. Severability; entire agreement; no waiver
If any provision of these Terms is held to be unenforceable, that provision will be limited or severed to the minimum extent necessary, and the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between you and MomUp Leave regarding the Site and supersede any prior agreements on that subject. Our failure to enforce any provision is not a waiver of that provision.
